Welcome to SignProoh (“we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our web-based software-as-a-service platform and any associated services (collectively, the “Service”).
By accessing or using SignProoh, you agree to be bound by these Terms.
1. Eligibility and Account Use
- You must be at least 18 years old to use SignProoh.
- All clients are subject to an onboarding process.
- Account sharing is strictly prohibited. Each user must have their own unique login.
- You are responsible for maintaining the confidentiality of your login credentials.
2. Subscriptions & Payments
- SignProoh operates on a monthly subscription model with no free tier.
- All payments are processed securely via Stripe.
- Subscription fees are non-refundable unless otherwise stated in a separate written agreement.
- Failure to pay may result in suspension or termination of your access.
3. User Content & Data Collection
- Users may upload photos, documents, and other content to the platform. You retain ownership of your content but grant us a license to use it as needed to operate the Service.
- We collect and process geolocation data to provide intelligent insights and features.
- You are responsible for ensuring that any uploaded content does not violate third-party rights or applicable laws.
4. Prohibited Uses
You agree not to:
- Share or resell your account access.
- Attempt to reverse engineer, hack, or disrupt the platform.
- Upload unlawful, offensive, or harmful content.
- Use the Service in violation of any applicable laws.
5. Third-Party Services
- We integrate with third-party services including Stripe (for payments) and Mapbox (for geolocation).
- Use of those services is subject to their respective terms and privacy policies.
- We are not liable for disruptions or issues caused by third-party services.
6. Service Level Commitment
- We strive to maintain a reliable, highly available service. While we make commercially reasonable efforts to ensure uptime, occasional interruptions may occur.
- Any planned maintenance will be communicated in advance where possible.
7. Termination
- We may suspend or terminate access to your account if you breach these Terms or engage in prohibited behavior.
- You may cancel your subscription at any time, but no refunds will be provided for partial billing cycles.
8. Disclaimers and Limitation of Liability
- The Service is provided “as is” and “as available.” We do not warrant uninterrupted access or that the platform will be error-free.
- To the fullest extent permitted by law, SignProoh shall not be liable for any indirect, incidental, special, or consequential damages.
9. Governing Law & Arbitration
- These Terms are governed by the laws of the State of Delaware, USA.
- Any disputes will be resolved through binding arbitration in Delaware, under the rules of the American Arbitration Association (AAA).
- You waive your right to participate in class actions or jury trials.
